- Financing summary: The disclosed financing concerns Vistra's portfolio acquisition of Energy Harbor rather than standalone Beaver Valley project financing. Announced March 6, 2023 and completed March 1, 2024, the transaction provided Energy Harbor shareholders with $3.0 billion in cash and a 15% interest in Vistra Vision, while Vistra Vision assumed approximately $430 million of Energy Harbor net debt. Vistra's financing plan included $600 million of cash from its balance sheet, $2.6 billion of new Vistra Operations debt, and approximately $430 million of rolled-over Energy Harbor net debt; the presentation described expected closing net debt of approximately $3.43 billion. Separately, FirstEnergy Nuclear Generation purchased the remaining 2.60% lessor equity interests in Beaver Valley Unit 2 for $38 million on June 1, 2017, when the related sale-leaseback leases expired; that was an asset-interest purchase, not construction financing. — Vistra to Create "Vistra Vision," a Leading Zero-Carbon Generation and Retail Platform, Through the Acquisition of Energy Harbor - Mar 6, 2023 · confidence: high

## Data quality

- Reported capacity varies by dataset: an EIA-linked plant record lists 1,846.8 MW for plant 6040, while Vistra and Energy Harbor materials state 1,872 MW for the two-unit site. The legal ownership and operating roles are distinct: Energy Harbor Nuclear Generation LLC remained the owner after the March 1, 2024 license transfer, while Vistra Operations Company LLC became the NRC-recognized operator. The December 1999 change was documented as an asset exchange and license transfer; no separate cash consideration for the Beaver Valley interests was disclosed in the cited material. The 2026 uprate and PPA arrangements are announced plans. A 2018 notice contemplated Beaver Valley Unit 2 ceasing operation by October 31, 2021, but Energy Harbor rescinded the planned retirement in 2020; the plant continued operating.
