Restructuring / Holding Company Insertion

MACH Gen and New Athens petitioned the New York Public Service Commission for approval of an upstream transfer of part of the ownership to second-lien secured lenders and for insertion of a new holding company (MACH Gen Holdings) between MACH Gen and New Athens. The restructuring was intended to eliminate approximately $1 billion of debt across the MACH Gen entities. New Athens retained direct ownership and operational control of the facility.
