The California Public Utilities Commission approved a purchase-and-sale agreement under which E&L Westcoast Holdings, LLC and E&L Westcoast, LLC would develop and construct the Colusa Project as a turn-key facility, to be transferred to PG&E upon completion and performance testing for PG&E to own and operate as a utility asset subject to cost-of-service ratemaking and cost-recovery caps.

E&L Westcoast Holdings informed PG&E that it did not intend to proceed with the Colusa Project and would exercise its contractual right to terminate the original purchase-and-sale agreement, creating the need for PG&E to take over development to prevent project failure.
PG&E and E&L Westcoast Holdings executed a new purchase-and-sale agreement under which PG&E agreed to acquire the project's development assets and permitting from E&L, allowing PG&E to complete development and construct the facility as owner-builder. Acquisition closing was expected in December 2007 subject to completion of due diligence.
